Terms of Use

Effective Date: July 25, 2025

Agreement and Acceptance

These Terms and Conditions ("Terms") govern all sales and services provided by ProperGuide Dental Lab (“ProperGuide”, “we”, “us”, or “our”) to its customers ("Client", “you”, or “your”) and are incorporated into all invoices, prescriptions, and purchase orders. By placing an order or accepting services, you agree to these Terms.

Orders and Prescriptions

All cases must be submitted with a signed and complete prescription in accordance with applicable state dental practice laws. Dentists are solely responsible for the accuracy of case details, material choices, and compliance with any governing dental board regulations. If a case is subcontracted, ProperGuide will issue appropriate documentation as required by law.

Turnaround and Delivery

Delivery timelines are estimates and not guaranteed. While we strive for timely fulfillment, ProperGuide shall not be held liable for delays due to events beyond our control (e.g., shipping delays, inclement weather, or material shortages). Risk of loss passes to the Client upon delivery.

Pricing and Payment

  • Prices are subject to change without notice.
     

  • Payment is due within 30 days of the statement date unless otherwise agreed in writing.
     

  • Late payments incur:
     

    • 2% monthly late fee, and
       

    • 18% annual interest, or the maximum allowed by law.
       

  • We reserve the right to suspend or withhold work on any unpaid accounts and recover any collection or legal fees incurred.

Cancellations and Modifications

Orders cannot be canceled, changed, or returned after production has started, except at ProperGuide’s sole discretion. If approved, the Client will be liable for any incurred production costs.

Returns and Remakes

ProperGuide stands by the quality of our products. We offer a limited warranty that covers defects in workmanship and materials within the designated warranty period (starting from the date of delivery).

Requests for remake or credit must:

  • Be submitted within 14 days of delivery
     

  • Include the return of the original restoration or appliance (if requested)
     

  • Include clear documentation of the reason for the request
     

Remake or credit will not be provided in the following cases:

  1. When the remake is requested due to a tooth shade change from the original prescription.
     

  2. When there is a treatment plan change or material type change from the original request.
     

  3. When the case involves immediate/surgical partials, dentures, or restorations associated with healing extractions.
     

  4. When the appliance fits the provided model accurately, but does not fit in the patient’s mouth (impression or scan error).
     

  5. When the remake request lacks a documented reason or the original materials or appliance are not returned upon request.
     

ProperGuide reserves the right to determine remake eligibility based on the circumstances of the case. Shipping costs on non-warranted remakes are the responsibility of the customer.

Limitation of Liability

ProperGuide is not liable for:

  • Chair time, lost profits, or indirect/consequential damages.
     

  • Damages exceeding the cost of the product/service in question.
     

All dental devices are custom-made medical devices and are fabricated per the clinician’s direction. The clinician is solely responsible for proper use and patient care.

Warranty

What Is Covered
ProperGuide warrants that its dental products are free from defects in materials and craftsmanship when used under normal and intended conditions. The warranty begins on the date the case is received and covers the following timeframes:

  • Fixed and removable restorations: 2 years
     

  • Nightguards and occlusal splints: 90 days
     

  • Essix appliances and ortho retainers: 6 months
     

  • Sleep appliances: 1 year
     

  • PMMA provisionals and temporary crowns: 30 days
     

Products are guaranteed to fit the model provided and to be constructed according to the design and specifications submitted on the case prescription.

What Is Not Covered
This warranty does not apply to:

  1. Cash refunds for any custom-manufactured product
     

  2. Chair time, insertion/removal fees, or indirect costs
     

  3. Failures caused by:
     

    • Accidents, patient neglect, or abuse
       

    • Poor oral hygiene or inadequate supportive tissue
       

    • Improper adjustments or insertion
       

    • Structural failure of abutment teeth or implants
       

  4. Cases partially or entirely fabricated or modified by a third party
     

  5. Restorations fabricated after the Client declined a request for new scans or impressions
     

  6. Immediate or surgical partials, dentures, or restorations placed on healing extractions

How the Warranty Works
If a product fails within the stated warranty period, the Client may request one of the following:

  • Remake or Repair: ProperGuide will repair or remake the device at no charge. If new materials or design changes are requested, the original case cost will be credited and the new case invoiced.
     

  • Credit: A credit will be applied to the Client’s account within 30 days of an approved claim, equal to the value of the original product.
     

All remake or credit requests must be submitted within the warranty period and meet the eligibility criteria below.

Conditions for Warranty Eligibility
The following conditions must be met for ProperGuide to honor a warranty claim:

  1. The original product (and any damaged components) must be returned if requested
     

  2. The case must have been inserted by a licensed dental professional
     

  3. The Client must provide the original invoice and patient name for verification
     

  4. The product must not have been altered, relined, or repaired by any third party
     

  5. All requested supplemental materials (new impressions, bite registrations, photos) must have been provided when advised
     

Failure to meet these conditions may result in denial of warranty coverage or full-charge remake pricing.

Confidentiality and Data Use

All customer and patient data will be handled in accordance with our Privacy Policy. ProperGuide may use anonymized case data for training, quality control, and marketing purposes unless otherwise instructed in writing.

Intellectual Property

All digital resources, educational materials, media, and documentation provided by ProperGuide are proprietary and may not be reused, modified, or distributed without written permission. Attribution is required for any permitted use.

Indemnification

Client agrees to indemnify and hold ProperGuide harmless from all third-party claims, damages, or liabilities arising from the use of our products, including but not limited to patient claims or misprescription.

Dispute Resolution and Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration in Alameda County, California, pursuant to the rules of the American Arbitration Association. Both parties waive the right to trial by jury or to participate in class actions.

Governing Law

These Terms are governed by the laws of the State of California.

Modifications

ProperGuide reserves the right to modify these Terms at any time. The most current version will always be posted on our website. Continued use of our services after any changes constitutes acceptance of the revised Terms.
